Terms of Service

1. Definitions

  • “Service” — the Continually outreach platform operated by THORT AI Ltd, including lead sourcing, enrichment, email campaigns, reply handling, booking integration, and the client dashboard.
  • “Client” — the business entity that subscribes to the Service.
  • “Qualified Meeting” — a discovery call that is booked via Cal.com, attended by both parties, and where the attendee matches the agreed Ideal Customer Profile (ICP).
  • “Campaign” — a configured outreach sequence targeting a specific ICP on behalf of a Client.

2. Service description

Continually provides AI-powered B2B cold email outreach, including lead sourcing from public registers, enrichment, personalised email sequences, reply classification, draft generation, deliverability monitoring, and a client dashboard. Feature availability varies by pricing tier.

3. Eligibility

The Service is available to UK-registered businesses for B2B outreach only. The Client must provide an accurate Ideal Customer Profile. We reserve the right to decline engagements where the proposed use does not meet PECR corporate subscriber requirements.

4. Pricing and billing

  • Starter — £1,500/month
  • Growth — £2,500/month
  • Scale — £4,000/month

Annual billing is available at a 17% discount. All prices are exclusive of VAT. Upgrades are prorated for the remainder of the current billing period. Downgrades take effect at the start of the next billing period. We will give at least 30 days' written notice before any price increase.

5. Meeting guarantee

We guarantee at least 3 Qualified Meetings within 60 calendar days of campaign activation (after domain warmup is complete). If we do not meet this target, your third month of service is free.

This guarantee does not apply where:

  • The Client delays onboarding inputs by more than 14 days.
  • The ICP is changed materially mid-campaign.
  • The ICP provided is inaccurate or does not describe a reachable market.

The free month is the sole and exclusive remedy under this guarantee. It may be claimed once per engagement.

6. Client responsibilities

  • Provide an accurate Ideal Customer Profile before campaign launch.
  • Respond to draft reviews within 48 hours (or approve auto-send via the dashboard).
  • Maintain an active Cal.com calendar with available slots.
  • Pay invoices within the agreed terms.

7. Acceptable use

You may not use the Service for spam, phishing, harassment, illegal content, or any purpose that violates PECR or UK GDPR. Campaigns must target corporate subscribers only. We may suspend or terminate access immediately if we reasonably believe the Service is being misused.

8. Intellectual property

Campaign copy generated during your subscription is your work product. Platform technology, algorithms, and prompt engineering remain the property of THORT AI Ltd. Your brand, trademarks, and data remain yours.

9. Data protection

For Client campaign data, we act as a data processor on the Client's behalf. For lead sourcing from public registers, we act as a data controller. Full details are set out in our Privacy Policy. Data subject access requests (DSARs) are honoured within 30 calendar days.

10. Cancellation

  • Monthly billing — either party may cancel with 30 days' written notice. Access continues until the end of the paid period.
  • Annual billing — non-refundable. The subscription runs to the end of the annual term.
  • Termination by us — we may terminate for non-payment (after 14 days' notice), breach of acceptable use, or where required by law.

On termination, campaign data is retained for 12 months per our retention policy, then deleted.

11. Limitation of liability

The Service is provided “as is” except as expressly stated in the meeting guarantee (section 5), which constitutes the sole remedy for underperformance. We are not liable for:

  • Deliverability issues arising from the Client's pre-existing domain reputation.
  • Outages or changes to third-party services (Cal.com, HubSpot, etc.).
  • Inaccuracies in public source data (ICO register, Companies House).

Our total aggregate liability under or in connection with these Terms shall not exceed the fees paid by the Client in the 3 months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

12. Force majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond its reasonable control, including natural disasters, acts of government, internet or power outages, or pandemic.

13. Governing law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
